Terms of Service
These Terms of Service ("Terms") govern your use of OrgAlyne, provided by OrgAlyne, LLC ("OrgAlyne," "we," "us"). By creating an account or using OrgAlyne, you agree to these Terms.
1. Who these Terms apply to
You must be at least 18 years old, and authorized to act on behalf of your organization, to create an account. If you're using OrgAlyne on behalf of an organization, you're confirming you have authority to bind that organization to these Terms.
2. Your account
You're responsible for maintaining the confidentiality of your login credentials and for activity that happens under your account. Tell us right away at hello@orgalyne.com if you believe your account has been compromised.
3. What you can do with OrgAlyne
We grant your organization a non-exclusive, non-transferable right to access and use OrgAlyne during your active subscription, for your organization's own internal governance and operations. See our Acceptable Use Policy for what's not permitted.
4. Your organization's data
Your organization owns the content it creates in OrgAlyne. We don't claim ownership of it. We use it only to provide the service to you, as described in our Privacy Policy.
5. Subscriptions and payment
Paid plans are billed in advance on a recurring basis. Full billing terms are set out in our SaaS Subscription Agreement, which is incorporated into these Terms.
6. Termination
You may cancel your subscription at any time from your account settings. We may suspend or terminate access for a genuine, material violation of these Terms or the Acceptable Use Policy, and will make reasonable efforts to notify you first except where immediate action is required (for example, to protect the security of other organizations' data).
7. Disclaimers
OrgAlyne is provided "as is." While we work to keep it reliable and accurate, we don't guarantee it will be uninterrupted, error-free, or fit for every specific purpose. OrgAlyne is a tool to support your organization's governance — it doesn't replace your board's own judgment, legal counsel, or fiduciary responsibilities.
8. Limitation of liability
To the extent permitted by law, OrgAlyne's total liability for any claim relating to the service is limited to the amount you paid us in the 12 months before the claim arose. We're not liable for indirect, incidental, or consequential damages.
9. Changes to these Terms
If we make material changes, we'll update the date at the top of this page and make reasonable efforts to notify active organizations.
10. Governing law
These Terms are governed by the laws of the United States and the state in which OrgAlyne, LLC is organized, without regard to conflict-of-law principles. [Specific state to be confirmed by counsel.]
